Terms of Service
Effective date: April 3, 2026
1. Acceptance of Terms
By downloading, installing, or using any Grip OS product (Grip Station, Grip Sentinel, Grip Tray, Grip Kernel, and upcoming products Grip Mobile and Grip Mail), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our products.
2. Independence Disclaimer
Grip OS is an independent, privately developed product suite. It is not affiliated with, endorsed by, or officially connected to the OpenClaw project or its maintainers. Grip OS is built as a companion to OpenClaw and utilizes certain open-source components licensed under the MIT License. OpenClaw is a trademark of its respective owner.
3. Description of Service
Grip OS provides native macOS companion applications for the OpenClaw ecosystem. Current products include Grip Station (command palette and AI workspace) and Grip Tray (menu bar companion). Additional products including Grip Mobile and Grip Mail are in development and not yet available. Features marked "Coming 2026" are not guaranteed and may change before release.
4. Bring Your Own Keys (BYOK)
Grip OS operates on a Bring Your Own Keys model. You are solely responsible for:
- Obtaining and maintaining your own API keys from LLM providers (Anthropic, OpenAI, Google, xAI, Mistral, etc.)
- All costs, charges, and fees incurred through your use of third-party LLM provider APIs
- Compliance with each LLM provider's own Terms of Service and acceptable use policies
- Securing and protecting your API keys from unauthorized access
Grip OS stores your API keys locally on your device and does not transmit them to our servers. We are not responsible for any charges incurred through your use of third-party APIs.
5. Subscription and Billing
The Grip OS platform (Station, Tray, Sentinel, and Kernel) is free and MIT-licensed. All platform features are unlocked at no cost.
Official add-ons such as Grip Mail ($9.99/month or $99/year) are available as paid subscriptions processed through Paddle as merchant of record.
You may cancel any add-on subscription at any time within the first 30 days for a full refund. After 30 days, your subscription remains active until the end of the current billing period with no further charges. Canceling an add-on does not affect the free platform.
Add-on prices are subject to change with 30 days advance notice.
6. Open Source Acknowledgment
Grip OS incorporates components from the OpenClaw project, which is licensed under the MIT License. The full text of the MIT License and a list of open-source components used in Grip OS are available within the application under Settings > Acknowledgments. Our use of these components does not imply any endorsement by or affiliation with the OpenClaw project.
7. Fleet Operations and Autonomous Agents
Grip OS includes fleet management capabilities that enable multi-machine orchestration via SSH. By using fleet operations, you acknowledge and agree that:
- You are solely responsible for the actions performed by autonomous agents on your machines
- Fleet operations execute commands with the permissions of your SSH user — ensure appropriate access controls are in place
- Grip OS is not liable for any data loss, system changes, or unintended consequences resulting from fleet operations or autonomous agent actions
- You should review agent-proposed actions before approving execution in production environments
8. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble our proprietary applications
- Use the service to generate, transmit, or store harmful, illegal, or abusive content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Resell, sublicense, or redistribute our products without written authorization
- Use fleet operations or autonomous agents to attack, damage, or gain unauthorized access to systems you do not own or have permission to manage
- Circumvent any security features, rate limits, or access controls
9. AI-Generated Output Disclaimer
Grip OS facilitates interactions with third-party large language models (LLMs) via your own API keys. AI-generated outputs may be inaccurate, incomplete, biased, or otherwise unreliable. You are solely responsible for reviewing, verifying, and validating any AI-generated content before relying on it for decisions, publishing it, or using it in any professional or legal context. Grip OS makes no representations or warranties regarding the accuracy, reliability, or legal compliance of any AI-generated output.
10. Intellectual Property
Grip OS, the Grip logo, and all related product names are trademarks of AI LABS Group, LLC. Our proprietary applications and their original content are protected by copyright and other intellectual property laws. Open-source components incorporated into Grip OS remain under their respective licenses (primarily MIT License).
11. Disclaimer of Warranties
GRIP OS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI LABS GROUP, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR PRODUCTS, INCLUDING BUT NOT LIMITED TO: DAMAGES FROM FLEET OPERATIONS, AUTONOMOUS AGENT ACTIONS, AI-GENERATED OUTPUT, DATA LOSS, API COSTS INCURRED THROUGH BYOK USAGE, OR SERVICE INTERRUPTIONS. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO GRIP OS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless AI LABS Group, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of Grip OS products, (b) your use of BYOK API keys and any resulting third-party charges or disputes, (c) your use of fleet operations and autonomous agents, (d) your violation of these Terms, or (e) your violation of any applicable law or the rights of any third party.
14. Dispute Resolution and Arbitration
Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the use of Grip OS products shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Atlanta, Georgia, USA.
Class Action Waiver: YOU AND GRIP OS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the jurisdiction of such court.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of laws principles. To the extent that arbitration is inapplicable, you consent to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.
16. Export Controls
Grip OS and the BYOK model may involve the use of AI technologies that are subject to export control laws, including the U.S. Export Administration Regulations (EAR). You agree not to export, re-export, or transfer Grip OS software or use BYOK functionality in violation of applicable export control or sanctions laws. You are solely responsible for ensuring compliance with all applicable export regulations in your jurisdiction.
17. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government orders, third-party API outages or discontinuations (including from LLM providers such as Anthropic, OpenAI, or Google), cloud infrastructure failures, internet service disruptions, or cyberattacks.
18. Termination
We reserve the right to suspend or terminate your access to our services at any time for violation of these terms. Upon termination, your right to use the applications ceases immediately. Your local data remains on your device. Any cloud-stored data will be available for export for 30 days following termination.
19. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification at least 30 days before the changes take effect. For changes that affect consent-based processing, we will seek your renewed consent and will not rely on continued use as acceptance of the new terms.
20. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
